This End-User License Agreement ("Agreement") is a legal agreement between you ("you") and Mikhail Golodiaev ("Licensor", "I", "me") for the Budget desktop application and related services (the "Software"). By installing, activating, or using the Software — including by checking "I agree to the Terms" during activation — you accept this Agreement. If you do not agree, do not install or use the Software.
Subject to this Agreement and to your having a valid product key, the Licensor grants you a personal, non-exclusive, non-transferable, revocable license to install and use the Software for your own personal use. The Software is licensed, not sold; the Licensor retains all rights not expressly granted.
Use of the Software requires a valid product key. On activation, and periodically thereafter, the Software contacts the Licensor's licensing service to validate the key; a successful validation is cached and trusted offline for a limited period. Keys may be issued free of charge and may be revoked, and license tiers and terms (including the introduction of paid tiers) may change in the future. A revoked or expired key does not immediately disable the Software but may limit future use or updates.
You may not, except to the extent permitted by mandatory applicable law:
The Software is designed to keep your financial data local to your device. Your budgets, accounts, transactions, and related data are stored in a database file on your own computer and are not transmitted to the Licensor. The Software does contact the internet for limited purposes only: license activation/ validation, checking for updates, and fetching public currency exchange rates. Those requests do not include your financial data.
The Licensor may, but is not obligated to, provide updates, bug fixes, or new versions. The Software may notify you when a newer version is available. This Agreement governs any updates unless they are accompanied by separate terms.
The Software and all copyright and other intellectual property rights in it are and remain the property of Mikhail Golodiaev. The Software includes third-party open-source components licensed under their own terms; see the THIRD-PARTY- NOTICES included with the Software.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. The Software is a personal-finance tool, not financial, accounting, tax, or investment advice, and you are responsible for verifying any figures it produces. You are responsible for maintaining your own backups of your data.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE. The Licensor's total aggregate liability under this Agreement will not exceed the greater of the amount you paid for the Software in the 12 months before the claim, or USD 25.
This Agreement applies for as long as you use the Software. It terminates automatically if you breach it. On termination you must stop using the Software. Sections 3 and 6–11 survive termination.
This Agreement is governed by the laws of Georgia, without regard to its conflict-of-laws rules, and the courts located in Tbilisi, Georgia will have jurisdiction over any dispute arising out of it, to the extent permitted by law.
The Licensor may update this Agreement from time to time. Material changes will be reflected by the "Last updated" date above and, where practical, surfaced in the Software. Continued use after a change constitutes acceptance.
